Corporate Governance and Financial Services Regulation Consultant

Japheth Katto is a corporate governance and financial services regulation consultant, was CEO of Uganda’s Capital Markets Authority (CMA) for 16 years until the end of 2013.

Before then he worked with Financial Services Authority in the UK for 8 years and with the British Government Department of Trade and Industry’s Companies Investigation and Companies Winding Up divisions also for 8 years.

He also held accounting and auditing positions in East Africa and in the UK early in his career.

While at CMA, in addition to putting in place a robust legal, regulatory and enforcement framework, Japheth spearheaded successful investor education and awareness programs which were highly regarded in the region. He was and remains a strong advocate of regional integration and pension reform. He also held leadership positions in international and regional securities regulatory organisations. He was vice president of the Africa and Middle East Regional Committee of the International Organisation of Securities Commissions (IOSCO) for two terms and chairman of East African Securities Regulatory Authorities also for two terms.

In the area of corporate governance, Japheth is a Commonwealth Association for Corporate Governance certified trainer and a strong advocate of good corporate governance. He is one of the authors of a recently published book on corporate governance in Uganda which he edited. He has consulted widely in this area and is retained as a consultant and trainer by many organisations including the Harare based Macro Economic and Financial Management Institute (MEFMI) and the Institute of Corporate Governance of Uganda.

His contributions to the profession include speaking at various national, regional and international conferences over the years, sitting on the Board of the New York based International Federation of Accountants (IFAC) for 6 years until November 2013 , IFAC Nominating Committee since 2013 and on the Global Council of the Association of Chartered Certified Accountants (ACCA).

Japheth has served on several Uganda Government Committees including the Commission of Enquiry into the Closure of Banks, African Peer Review Mechanism (APRM) Governing Council (where he chaired the corporate governance thematic area) and Pension Reform and Regulation Sub-Committee of the Ministry of Finance which he chaired.

Japheth, a certified public accountant, has also been very active in the national and global accountancy profession.

In capital markets area, Japheth’s recent clients have included Rwanda’s Capital Markets Authority, the Central Bank of Lesotho and Burundi Central Bank where he has advised on the legal and regulatory frameworks for establishing regulatory authorities and stock exchanges.

He has conducted board induction, board and senior management training, audit committee training and board evaluations for many companies and organisations including Bank of Uganda, Stanbic Bank, aBi, Uganda Electricity Generation Company Limited, Uganda Electricity Transmission Company Limited, Uganda Health Marketing Group and Uganda Country Coordinating Mechanism of the Global Fund.

In addition, he has advised on and facilitated strategic planning processes and reviewed governance and internal control systems of a number of organisations. He also developed the East African Corporate and Economic Governance Protocol for the East African Community.
